The Agreement shall become binding and effective upon acceptance of invoice payment and approved in writing by Illinois Nurse Practitioner Network (INPN). Upon acceptance of this application by INPN, it shall be a legally binding contract between the exhibitor/sponsor and INPN.
FEES
INPN will charge Company for payment of fees due under this Agreement (“Sponsorship and Exhibitor Fees”). Company will pay Sponsorship and Exhibitor Fee via the invoice and in accordance with the specified payment schedule.
EVENT CHANGES
INPN may, in its reasonable discretion, change Event dates and times, and may cancel any portion of the Event. INPN shall make reasonable efforts to accommodate Company if the Company’s Sponsorship or exhibit is materially diminished or modified as a result of such changes, but INPN is not obligated to refund any paid sponsorship or exhibitor fees. INPN shall notify the Company of any such changes promptly in writing.
TERMINATION
Company may only terminate this Agreement as provided herein. Company may terminate this Agreement within 15 days and by written notice to INPN. If Company terminates this agreement refunds will not be issued under any circumstances, regardless of the date of cancellation, unless INPN cancels the contract for reasons other than nonpayment by the Exhibitor/Sponsor. INPN will be entitled to retain or collect 100% of the Exhibitor/Sponsor’s total contract obligation if the Exhibitor/Sponsor cancels or reduces their exhibit space.
HOLD HARMLESS
Exhibitor/Sponsor assumes the entire responsibility and liability for losses, damages, and claims arising out of injury or damage to Exhibitor/Sponsor’s displays, equipment, and other property brought upon the premises of the exhibit hall. Exhibitor/Sponsor shall defend, indemnify and hold harmless INPN, the venue, their respective directors, officers, employees, and agents from losses, damages, and claims inside and outside the exhibit hall that may arise as a result of actions of the Exhibitor/Sponsor, its employees, or agents. INPN, the venue, or the respective directors, officers, agents, or employees of each, will not be liable to the Exhibitor/Sponsor, its employees, agents, or guests for any damages, loss, or injury from fire, electricity, water, storm, riot, smoke, theft, accident or any other cause. The Exhibitor/Sponsor agrees to provide insurance coverage for personal injury and property damage liability, covering the Exhibitor/Sponsor and his property in such amount as the Exhibition facility requires. Security - Insurance of booth contents and personnel is recommended. INPN does not insure exhibitor/sponsor property. INPN shall use reasonable care in providing security during the hours of installation, the show, and dismantling for the protection of the exhibitor/sponsor’s materials and display. Beyond this, INPN, the show facility, their respective officers, directors, and employees, or agents shall not be responsible for the safety or protection of the property or of the exhibitor/sponsor, its employees, and agents from any cause
INSURANCE
Exhibitor/Sponsor acknowledges and agrees that it shall be solely responsible for obtaining any licenses, permits, etc., that may be required for it to broadcast, perform or display any copyrighted material including, but not limited to, music, video, and software. Exhibitor/Sponsor shall indemnify, defend and hold harmless the INPN, its directors, officers, employees, agents, and each of them, from and against any and all claims and expenses, including attorney fees and costs, arising out of or related to Exhibitors/Sponsors’ breach of this provision.
